Gym Seller Agreement

1. Scope

This Agreement applies when your organisation (the "Gym") connects a Stripe account to Hybrid Racing Platform Ltd ("HRP") in order to accept payment for event bookings. It is in addition to HRP's Terms of Service.

2. The relationship

• You, the Gym, are the merchant of record for every event booking taken via HRP.
• HRP is a listing and booking facilitator. HRP does not hold customer funds; payments flow directly from the athlete to your Stripe account.
• The contract for each event is between you and the booking athlete. HRP is not a party to that contract.
• HRP takes no platform fee on bookings at this time. We will give 30 days' notice before introducing any fee.

3. Your obligations

• Provide accurate event information: date, location, format, capacity, price, refund terms.
• Honour every confirmed booking, or refund in full if the event is cancelled or rescheduled and the athlete cannot attend.
• Comply with our Refund Policy as a minimum standard. You may publish a more generous policy.
• Respond to athlete enquiries about bookings within 3 business days.
• Maintain valid public liability insurance appropriate to the events you host. HRP does not insure your events.
• Comply with all applicable health-and-safety regulations at your venue.
• Handle athletes' personal data lawfully — see Section 6.
• Sell only events that comply with Stripe's Restricted Businesses list and applicable law.

4. Payments & Stripe

Payments are processed by Stripe under their own Connected Account Agreement. You authorise HRP to create a Stripe Connect account linked to your organisation and to initiate Checkout sessions and refunds on your behalf using your connected account.

Payout timing, KYC requirements and dispute handling are governed by Stripe. You are responsible for completing Stripe's onboarding (identity, business details, bank account) before bookings can be confirmed.

5. Taxes

You are responsible for determining, collecting, reporting and remitting all taxes (including VAT/GST/sales tax) on your event bookings. HRP does not calculate or remit tax on your behalf. Prices shown on the booking page are the prices you set.

6. Data protection

For booking-related personal data (athlete name, email, expected finish time, partner emails, wave assignment), you and HRP are joint controllers. You may use this data only to deliver the event and for follow-up communications the athlete has consented to. You must not use booking data for unrelated marketing without separate consent.

You must comply with UK GDPR / EU GDPR / equivalent local laws. On request from HRP or the athlete you must delete or return the personal data.

7. Refunds, chargebacks and disputes

• You are responsible for issuing refunds in line with your published policy and our minimum policy.
• You are responsible for chargebacks, dispute fees, and any negative balances on your Stripe account.
• HRP may, at its discretion, suspend your ability to take new bookings if your dispute rate exceeds 1% of transactions in any rolling 60-day window, or if Stripe restricts your account.

8. Liability between Gym and HRP

You indemnify HRP against claims, fines and losses arising from: incorrect event information, failure to deliver an event, injury at your venue, breach of data-protection law, tax non-compliance, or breach of this Agreement. HRP's total liability to you under or in connection with this Agreement is capped at the greater of (a) £100, or (b) fees actually paid by you to HRP in the prior 12 months.

9. Suspension and termination

Either party may end this Agreement on 30 days' notice. HRP may suspend or terminate immediately on material breach, Stripe restriction, or where required by law. On termination, existing confirmed bookings will be honoured by you; HRP will disable new bookings.

10. Governing law

Governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
